Minutes of Board of Trustees Meeting

Trustees in attendance: Sue Allen; Abe Bruckman; Paul Ciupa; Steve Henstridge; Greg Huth; Christine Kowalski; David Lawhun; Jim O’Connor; Alice Ratka; Dane Reich; Lynea Reindel; Matt Reitz

Staff: Robyn Sandys

Matt Reitz called the meeting to order at 5:35 pm, followed by introductions.

Greg Huth moved to go into executive session. Motion approved.

Executive Session

Also Present: Councilmen Cummins and Kelley and Attorney Mary Jo Toumert .

Ms.Toumert discussed within the bounds of legality the matter of the termination of Debra Zeleny and conversations she has had with Ms. Zeleny’s attorney.

There was a discussion concerning the Boards fiduciary duties and their role in relationship their commitment to be a “team” player as a board member even when there may personal disagreements on CDC matters.

Councilman Cummins requested the executive session in order to discuss relations between the CDC and the community.

The executive session ended at 6:58 pm.

Public Meeting

The public meeting began immediately following the executive session.

Minutes: The minutes of the February 19, 2008 Board Meeting were read and approved.

Councilman Report: The Councilmen were present but did not give reports.

Treasurer’s Report: The Treasurer’s report was read. Dave Lawhun moved to accept the report. Motion approved.

Executive Director Report: The Executive Director presented her report, the text of which was attached to the meeting agenda. Dave Lawhun moved to accept the report. Motion approved.

Committee Reports:

The attachments to the printed agenda include an updated list of committees and committee members.

The Fund Raising Committee reported on the 2008 Housing Fair (see Lori Peterson’s monthly report attached to printed agenda.)

Greg Huth reported that the Code of Regulations Review Committee had met and worked on changes to membership categories and the method of obtaining information about prospective candidates for the Board and nominating candidates for election.

Dave Lawhun moved to accept the reports. Motion approved.

Announcements:

Dave Lawhun announced that Steel Valley Credit Union is offering free income tax preparation for residents. The Credit union is also offering free coin counting.

Abe Bruckman proposed a task group of Board members and residents to study John Jenkins’ January 2008 motion concerning the Memphis School site.

Greg Huth, who is involved in the Cleveland City Charter review process, invited community comments concerning the Charter. Wards 15 and 16 are represented on the Charter Review Commission.

Comments from Guests: The guest sign-in sheet contained 34 names. The floor was opened for their questions and comments.

There was a question concerning the resignation of a Board member. Brooklyn Center Community Association will conduct its walking garden and cemetery tour on June 22, 2008.

There was a question concerning the possibility of holding Board meetings at a site that is handicapped accessible.

There were questions concerning the status of the Krather Building and the former Brooklyn Y building.

There was a question concerning the procedure followed in hiring the current code enforcement manager.

Adjournment:

Matt Reitz moved to adjourn the meeting at 8:12 pm. Motion approved.
